TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern access to and use of the Aeon Infinite platform, including all websites, mobile applications, crowdfunding tools, creator services, and digital marketplace features (collectively, the “Platform”).

These Terms constitute a legally binding agreement between you (“User,” “you”) and Aeon Infinite, a U.S.-based digital platform operating from Memphis, Tennessee.

By accessing or using the Platform, you agree to be bound by these Terms.

1. ACCEPTANCE OF TERMS

You must read these Terms carefully. By:

  • Creating an account

  • Accessing the Platform

  • Publishing or viewing content

  • Launching a crowdfunding campaign

  • Offering or purchasing services

  • Making a pledge or financial transaction

You confirm that you understand and agree to:

  2. Our Privacy Policy

  3. Our Refund & Cancellation Policy

  4. Our Vendor & Creator Agreement (if applicable)

If you do not agree, you must not use the Platform.

2. ABOUT AEON INFINITE

Aeon Infinite provides three core features:

2.1 Webcomic & Creative Publishing Platform

Creators may publish digital comics, illustrations, stories, and related content for public viewing.

2.2 Crowdfunding System (Kickstarter-style)

Creators may launch reward-based campaigns to raise funds for projects from supporters (“Backers”). Aeon Infinite:

  • Hosts campaigns

  • Processes pledges

  • Disburses funds

  • Enforces platform policies

—but is not the party responsible for completing campaigns or delivering rewards.

2.3 Creator Services Marketplace (Fiverr-style)

Users (“Vendors” or “Service Providers”) may offer services such as art, writing, lettering, voiceover, or other digital work. Users (“Buyers”) may purchase those services through the Platform.

Aeon Infinite does not provide the services; we only provide the marketplace.

3. USER ELIGIBILITY

By using the Platform, you confirm:

  • You are at least 18 years old,

  • OR you are 13–17 with parental/guardian consent,

  • AND you are legally permitted to use the Platform under local law.

Use by children under 13 is prohibited.

4. ACCOUNT SECURITY

You agree to:

  • Provide accurate registration information

  • Keep your login credentials confidential

  • Be responsible for all activity under your account

  • Notify us immediately at legal@aeoninfinite.com of unauthorized access

Aeon Infinite may suspend or terminate accounts for violations of these Terms or applicable law.

5. USER CONDUCT & PROHIBITED ACTIVITIES

You agree not to:

5.1 Illegal or harmful activity

  • Engage in fraud, money laundering, or unlawful financial schemes

  • Engage in harassment, threats, hate speech, or exploitation

  • Upload harmful code or disrupt Platform functionality

5.2 Intellectual Property Infringement

  • Upload content you do not own or have rights to

  • Infringe copyrights, trademarks, or other IP

5.3 Deceptive or abusive behavior

  • Misrepresent your identity, skills, or project details

  • Use bots, fake accounts, or manipulation tactics

  • Circumvent platform fees or take prohibited off-platform transactions

Violations may result in suspension, account termination, or legal action.

6. CONTENT OWNERSHIP & LICENSES

6.1 Your Content

You retain ownership of your original content.

When you upload content, you grant Aeon Infinite a:

  • Worldwide

  • Non-exclusive

  • Royalty-free

  • Transferable

  • Sublicensable

  • License

…to host, store, display, distribute, promote, and adapt your content as necessary to operate and improve the Platform.

6.2 User-to-User Licensing

For crowdfunding and marketplace transactions, additional rights may be granted between creator and backer, vendor and buyer, as described in the project or service listing.

6.3 Our IP

The Aeon Infinite branding, platform software, and design assets are proprietary. You may not copy, reverse engineer, or alter them without written permission.

7. CROWDFUNDING RULES

Creators launching campaigns agree to:

  • Describe projects honestly and accurately

  • Set realistic goals and timelines

  • Fulfill rewards or communicate failures transparently

  • Use funds only for the stated project

  • Abide by all applicable federal & Tennessee crowdfunding laws

Backers acknowledge:

  • Pledges are not guaranteed purchases

  • Projects may face delays or fail

  • Aeon Infinite is not responsible for reward fulfillment

  • Refunds follow the Refund Policy

8. SERVICES MARKETPLACE RULES

Vendors must:

  • Provide accurate service descriptions and prices

  • Deliver work professionally and on time

  • Avoid deceptive or harmful practices

  • Follow U.S. and Tennessee business, tax, and licensing requirements

Buyers must:

  • Provide clear instructions and timely communication

  • Pay for services via official Platform channels

  • Refrain from abusive behavior toward vendors

Aeon Infinite is not responsible for service outcomes but may intervene in disputes consistent with Platform policies.

9. PAYMENTS, FEES, AND TAXES

  • Payments are processed through PCI-compliant third-party processors

  • Aeon Infinite may charge fees such as platform fees, service fees, payout fees, and currency conversion fees

  • Vendors and creators are responsible for federal, Tennessee, and local tax reporting

  • Aeon Infinite may withhold or offset balances in cases of disputes, chargebacks, or fraud investigations

10. SUBSCRIPTIONS & AUTOMATIC RENEWALS (TENNESSEE COMPLIANT)

If you subscribe to recurring services:

  • Renewal terms will be clearly disclosed

  • You can cancel online at any time

  • Tennessee renewal laws will be followed

  • Cancellations take effect at the end of the billing cycle

Charges already processed are generally non-refundable, unless required by law.

11. DMCA COPYRIGHT NOTICE PROCEDURE

If your copyrighted content has been infringed, submit a DMCA notice to:

Subject: DMCA Notice

Include:

  • Your contact info

  • Identification of infringing work

  • Proof of ownership

  • Statement under penalty of perjury

Aeon Infinite may remove content and take action against repeat infringers.

12. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the Platform is provided:

“AS IS”, “AS AVAILABLE”, and WITHOUT WARRANTIES of any kind.

We do not guarantee:

  • uninterrupted access

  • error-free operation

  • campaign success

  • fulfillment of rewards

  • quality or performance of services offered by users

13. LIMITATION OF LIABILITY

To the fullest extent permitted under Tennessee and U.S. law:

  • Aeon Infinite is not liable for indirect, incidental, consequential, or punitive damages

  • Aeon Infinite’s total cumulative liability is limited to:
    the greater of (a) $100 or (b) amounts paid directly to Aeon Infinite over the previous 6 months

Some jurisdictions do not allow certain exclusions; in those cases, statutory rights apply.

14. INDEMNIFICATION

You agree to indemnify and hold Aeon Infinite harmless from losses, claims, damages, liabilities, or expenses (including attorneys’ fees) arising from:

  • Your content

  • Your use of the Platform

  • Your violation of these Terms

  • Your interaction with other users

15. GOVERNING LAW & VENUE (MEMPHIS, TENNESSEE)

These Terms are governed by:

  • The laws of the State of Tennessee

  • Without regard to conflict-of-law rules

Unless arbitration is elected, exclusive venue is in:

State and federal courts located in Shelby County, Tennessee

You consent to personal jurisdiction in those courts.

16. MODIFICATIONS

We may revise these Terms at any time. Material changes will be communicated through email or Platform notifications. Continued use constitutes acceptance.
