This Vendor & Creator Agreement (“Agreement”) governs the rights and responsibilities of individuals and entities who publish, sell, promote, offer services, or conduct crowdfunding campaigns (“Creators,” “Vendors,” or collectively “You”) through any Aeon Infinite digital property (the “Platform”).
This Agreement supplements and incorporates by reference the Aeon Infinite Terms & Conditions (“Terms”) and Privacy Policy.
By creating a campaign, offering services, or earning income on the Platform, you agree to be bound by this Agreement.
1. RELATIONSHIP WITH AEON INFINITE
You understand and agree:
You are an independent contractor, not an employee, agent, joint venturer, partner, or representative of Aeon Infinite.
You are solely responsible for your business activities, content, projects, obligations to customers, and compliance with all applicable laws.
You must accurately describe your identity, services, and projects.
You may not present yourself as being endorsed, employed, or legally backed by Aeon Infinite unless explicitly authorized in writing.
2. ELIGIBILITY & LEGAL COMPLIANCE
By using the Platform as a Creator/Vendor, you affirm that you:
Are legally able to conduct business under U.S. and Tennessee law;
Will comply with all federal, state, and local statutes, including:
Tennessee Consumer Protection Act,
Tennessee Business Tax Act,
Tennessee Information Protection Act (TIPA) (if applicable),
Applicable tax-reporting obligations;
Will provide accurate, non-misleading information to buyers/backers;
Will not use the Platform for illegal fundraising, fraudulent schemes, pyramid schemes, investment contracts, or any securities-related offerings without proper licenses and Aeon Infinite’s written consent.
Creators and vendors are responsible for researching and understanding any legal obligations relevant to their activities.
3. OWNERSHIP OF CONTENT & LICENSE GRANT
3.1 Your Rights
You retain full ownership of the original content you create and upload to the Platform.
3.2 License to Aeon Infinite
By submitting content to the Platform, you grant Aeon Infinite a:
Worldwide
Non-exclusive
Transferable
Royalty-free
Sublicensable
license to host, store, display, distribute, adapt, promote, and otherwise use your content as reasonably necessary to operate, promote, and improve the Platform.
3.3 License to Buyers and Backers
You agree to provide buyers, clients, or backers with all rights that you explicitly promise in your project description, reward tiers, or service listings.
You must not misrepresent the rights clients or backers will receive.
4. CROWDFUNDING PROJECT OBLIGATIONS
Creators launching crowdfunding campaigns on Aeon Infinite must:
4.1 Provide Accurate Project Information
You must accurately describe:
Project purpose and scope
Funding goals
Reward tiers
Timelines
Risks and uncertainties
Materials needed for completion
4.2 Use of Funds
You agree to use funds only for:
Completing the project
Delivering rewards
Covering disclosed project-related expenses
Misuse of funds (e.g., personal use unrelated to the project) is strictly prohibited.
4.3 Good-Faith Completion & Communication
You must:
Work diligently to complete the project
Deliver rewards as promised
Provide updates to backers
Communicate delays or failures honestly
Offer remedies (refunds, alternative rewards, partial fulfillment) if you cannot complete the project
4.4 Aeon Infinite’s Role
Aeon Infinite is not responsible for fulfilling rewards, issuing refunds, or completing campaigns. However, we may intervene in cases of:
Proven fraud
Abandonment of project
Misrepresentation
Violations of law or policy
We may freeze or reverse funds, disable campaigns, or terminate accounts if necessary.
5. SERVICES MARKETPLACE OBLIGATIONS
Vendors offering services must:
5.1 Provide Accurate Listings
Service listings must clearly state:
Deliverables
Pricing
Deadlines
Revision policies
Usage rights granted
5.2 Professional Delivery
You must:
Perform work in a professional, timely manner
Deliver work that materially aligns with descriptions
Communicate promptly with clients
Cooperate with Aeon Infinite during disputes
5.3 No Fraud or Deception
You may not:
Deliver AI-generated work without disclosure (if required by law or Platform policy)
Outsource work without consent (if applicable)
Steal or plagiarize content
Deliver materially incomplete or low-effort work for the purpose of extracting payments unfairly
5.4 Client Responsibilities
Clients must:
Provide timely instructions
Respond to revision requests
Communicate respectfully
Release payment once work is approved
Aeon Infinite may mediate disputes but is not responsible for final quality of services.
6. FEES, PAYOUTS, AND FINANCIAL HOLDS
6.1 Platform Fees
Aeon Infinite may charge:
Platform service fees
Transaction fees
Payment-processing fees
Currency conversion fees
These may vary by category (crowdfunding vs. marketplace).
6.2 Payouts
Creators/Vendors must:
Provide accurate payout information to payment processors
Agree to their third-party payout policies
Aeon Infinite may:
Withhold funds for investigation
Delay payouts in cases of fraud, complaints, or chargebacks
Offset balances owed against future earnings
6.3 Chargebacks
If a customer initiates a chargeback:
Aeon Infinite may debit your account
You may be responsible for associated fees
We may freeze your campaigns or services until resolved
7. DATA PRIVACY & HANDLING OF USER INFORMATION
If you receive personal information about users (e.g., email addresses, shipping details), you must:
Use it solely for fulfilling transactions
Keep it secure
Never sell or misuse it
Comply with any applicable privacy laws, including TIPA where relevant
You may not export or store user information outside the Platform except as reasonably necessary to complete your obligations.
8. PROHIBITED ACTIVITIES
Creators/Vendors may NOT:
Launch fraudulent or deceptive campaigns
Engage in investment-like offerings requiring SEC registration
Promote violence, hate, harassment, child exploitation, or illegal content
Use the Platform to launder money or hide illegal proceeds
Attempt to circumvent platform fees or terms
Publish doxxing, confidential, or harmful information
Offer services that are unlawful or unethical
Manipulate Platform algorithms or reviews
9. SUSPENSION & TERMINATION
Aeon Infinite may suspend or terminate your account if:
You violate this Agreement or the Terms
You engage in fraud, deception, or harmful behavior
You misuse funds or fail to communicate with backers
You repeatedly fail to deliver services
You violate privacy or data-handling rules
You fail to resolve disputes honestly and in good faith
We may also:
Cancel active campaigns
Hold or reverse payouts
Remove listings
Restrict your access to certain features
Ban you permanently in severe cases
10. SURVIVING OBLIGATIONS
Even if your account is suspended or terminated, you remain responsible for:
Delivering outstanding crowdfunding rewards
Resolving marketplace service disputes
Refunding backers or buyers where required
Paying owed fees
Complying with legal and tax obligations
Honoring licenses granted to Aeon Infinite and users
11. GOVERNING LAW & VENUE (MEMPHIS, TENNESSEE)
This Agreement is governed by the laws of the State of Tennessee.
Unless arbitration applies, disputes will be resolved exclusively in the:
State and federal courts located in Shelby County, Tennessee.
You consent to personal jurisdiction in those courts.
12. AMENDMENTS
Aeon Infinite may revise this Agreement periodically.
Creators and Vendors will be notified of major changes via:
Platform notifications
Dashboard alerts
Continued use after changes become effective constitutes acceptance.
